Pak Women, a non-profit national organization, is dedicated to enhancing income-generating opportunities for youth with disabilities from slum areas of Rawalpindi and Islamabad in the CBM funded project. To further this mission, the organization seeks services of reputable firms/individuals for registration of Pak Women with SECP, PCP and FBR.

Interested consultant (Firm/Individual) should submit their technical and financial proposals in sealed Envelopes marked “For  Registration of Pak Women with Securities and Exchange Commission of Pakistan Under section 42 of the Companies Act 2017 – Registration with PCP and FBR under section 236” through only courier services before or by January 28, 2025 by 5:00 pm

Under section 42 of the Companies Act 2017 – Registration with PCP and FBR under section 236

Pak Women is a women-led non-governmental organization (NGO) that has been working since 1998 for the socio-economic and political development of women, children, persons with disabilities, youth, minorities, and transgender individuals. The vision of Pak Women is "A just, peaceful, inclusive, and prosperous society," and its mission is "To build a just society where the poor, particularly women, children, persons with disabilities, minorities, and transgender individuals, enjoy their full rights and achieve their social, economic, and political development."

Pak Women aims to register as a not-for-profit organization under Section 42 of the Companies Act, 2017, with the Securities and Exchange Commission of Pakistan (SECP) in order to avail the Pakistan Centre for Philanthropy (PCP) Certification and tax exemption from the Federal Board of Revenue (FBR) under Section 236. The firm will provide legal services and advice to guide the client throughout the process, facilitating the acquisition of three types of registration, certifications, and licenses.

1. RESPONSIBILITIES OF THE CONSULTANT

1.1. Registration with SECP:

  • Ensure and verify the name of Pak Women through SECP.
  • Verify the credentials of the Board of Directors through SECP.
  • Assist Pak Women in compiling the required documents and provide a checklist of necessary documents.
  • Coordinate with SECP throughout the registration process, addressing any clarifications or corrections, and collect incorporation documents from SECP.
  • File the application with SECP for the license under Section 42 of the Companies Act, 2017, in the name of Pak Women.
  • Facilitate Pak Women throughout the registration process to ensure compliance and provide true documents if required.

1.2. Certification from PCP:

  • Assist Pak Women in registering with the Pakistan Centre for Philanthropy (PCP).
  • Submit Pak Women's application online via the PCP portal, ensuring all required documents are provided and coordinating with PCP for any additional documentation.
  • Facilitate Pak Women in completing the necessary documents for PCP registration.
  • Support Pak Women’s respective staff members in the PCP assessment and audit process.
  • Follow up and arrange meetings with PCP to obtain the PCP certification.

1.3. Obtaining Exemption Certificate from FBR under Section 236:

  • Assist Pak Women in submitting the application for an exemption certificate under Section 236.
  • Follow up and coordinate with FBR to obtain the exemption certificate.
  • Provide all required data and documents to FBR throughout the process.

3. Duration of the Contract

The contract will start from Jan 23, 2025 on signing of the contract and will end on March 10, 2025.

4. Deliverables:

1. Pak Women registration certificate from SECP.

2. Pak Women registration certificate from PCP.

3. Pak Women registration certificate under FBR 236.

5. QUALIFICATIONS AND EXPERIENCE

  • The individual/firm must have significant experience in leading or co-leading similar assignments.
  • Specific experience in company registration with SECP, PCP and FBR 236 within the last 3 years is preferred.

6. Submission of Expression of Interest (EOI)
Interested firms or individual consultants should submit their technical and financial proposals in sealed envelopes marked "Technical and Financial Proposal for Pak Women Registration with SECP, PCP, and FBR."

7. Applications must include the following:

  1. A cover letter detailing suitability for the assignment and contact information.
  2. A copy of the registration certificate.
  3. A copy of the NTN certificate.
  4. Profiles of staff to be engaged.
  5. Website address and social media links.
  6. A technical proposal.
  7. A financial proposal..
