Consultant for SECP Registration 

BACKGROUND 

Accelerate Prosperity is a global initiative of the Aga Khan Development Network (AKDN) in Central and South Asia which offers creative financial solutions as well as pre- and post-investment technical assistance to help grow early-stage businesses, startups, and innovative ideas. Since 2016, Accelerate Prosperity has supported promising entrepreneurs through business modelling, 1:1 coaching from staff, mentorship and networking with entrepreneurs, investment readiness, seed and growth financing, investor services and trade facilitation. 

To further support startups and businesses, Accelerate Prosperity intends to engage a consultant on a retainership model to facilitate the registration of identified businesses with the Securities and Exchange Commission of Pakistan (SECP), ensuring compliance with regulatory requirements. 

SCOPE OF SERVICES 

The consultant will be responsible for providing the following services: 

  1. SECP Registration:Facilitate the registration of identified businesses with SECP, ensuring compliance with all regulatory requirements. 

  1. Advisory & Guidance:Provide expert guidance to businesses on SECP-related regulations, procedures, and compliance matters. 

  1. Documentation & Filing: Prepare, review, and submit necessary SECP documentation, ensuring accuracy and completeness. 

  1. Timely Delivery: Complete the SECP registration process and share all required SECP documents with both Accelerate Prosperity and the respective businesses within one to two weeks of engagement. 

  1. Regulatory Compliance:Advise businesses on ongoing SECP compliance requirements, including corporate governance, annual filings, and regulatory obligations. 

  1. Liaison with SECP: Act as a liaison between businesses and SECP to resolve queries, ensure proper documentation, and address compliance-related concerns. 

  1. Regular Reporting: Provide periodic reports to Accelerate Prosperity on the progress and status of registrations. 

DELIVERABLES 

  1. Advisory & Compliance Guide – Guidelines on SECP regulations and compliance checklists.  

  1. Filing & Documentation – Share SECP documents with AP and the relevant business.  

  1. Timely Registration Tracker – Status report ensuring registration within the set timeframe.  

  1. SECP Liaison Report – Record of interactions with SECP and issue resolutions.  

  1. Periodic Progress Reports – Regular updates on registration status and compliance support. 

DURATION OF ENGAGEMENT 

  • The consultancy services will be initially engaged for 12 months on a retainership model. The contract may be renewed based on mutual agreement and performance assessment. 

  • Payments will be made per business assessed, based on the successful submission of all deliverables per business. 

QUALIFICATION & EXPERIENCE REQUIREMENTS 

The consultant should meet the following criteria: 

  1. Experience: At least 3 years of experience in corporate legal advisory, specifically in SECP registrations and compliance matters. 

  1. FBR Registration: The consultant must be duly registered with the Federal Board of Revenue (FBR). 

  1. Proven Track Record:Demonstrated experience in successfully registering and advising businesses on SECP-related matters.
